By creating an account, purchasing or subscribing to a Service, accessing a SKEP-powered application, or otherwise using the Services, you agree to these Terms. If you do not agree to these Terms, you should not access or use the Services.

1. About SKEP

  • memberships and subscriptions
  • communities and spaces
  • feeds, discussions and posts

  • team roles and permissions
  • payments, orders, earnings and payouts
  • analytics and reporting
  • notifications and communications
  • integrations and automation
  • APIs and connected services
  • other related functionality

The exact features available to you may depend on your subscription, role, region, customer configuration or application.

2. Definitions

“Creator” means a coach, trainer, consultant, mentor, educator, institution, business, organisation or other customer using SKEP to create or provide content, programmes, memberships, communities, events, products or services.

“End User” means a learner, member, participant, customer, employee, student or other individual accessing content or services offered by a Creator through SKEP.

“Customer” means any person or organisation purchasing, subscribing to, configuring or operating SKEP Services.

“Customer Application” means an application, website or digital experience powered by SKEP but branded for or operated on behalf of a Customer.

“Content” means text, documents, videos, audio, images, course material, posts, comments, messages, files, assessments, articles, programmes and other material made available through the Services.

“User”, “you” or “your” means any person or entity accessing or using the Services.

3. Eligibility

You must have the legal capacity to enter into a binding agreement to use the Services independently.

Where a user is below the age at which independent consent or contracting is permitted under applicable law, use of the Services must occur with appropriate permission or consent from a parent, lawful guardian, institution or other authorised party, as applicable.

Customers offering programmes or services to children are responsible for ensuring that they have obtained any consent, authorisation or verification required by applicable law.

SKEP may request information reasonably necessary to verify eligibility, identity or authority.

4. Account Registration

You agree to:

  • provide accurate, current and complete information
  • keep your account information updated
  • maintain the confidentiality of your login credentials
  • not share your account with unauthorised persons
  • promptly notify us of suspected unauthorised access
  • accept responsibility for activity occurring through your account where permitted by law

You may not:

  • create accounts for fraudulent or unlawful purposes
  • access another person’s account without authorisation
  • circumvent authentication or security controls

We may suspend or restrict an account where we reasonably believe its security has been compromised.

5. SKEP-Powered and Customer-Branded Applications

SKEP may provide, host, operate or support Customer Applications for Creators and other Customers.

A Customer Application may display the Customer’s:

  • name
  • logo
  • colours
  • domain
  • programmes
  • courses
  • memberships
  • communities
  • other branding

Depending on the arrangement:

  • SKEP may provide the underlying software, hosting, account systems, security, communications, analytics and other technology
  • the Customer may control the programmes, content, pricing, memberships, communities and customer relationship
  • SKEP and the Customer may have separate responsibilities relating to users and personal data

Use of a Customer Application may also be subject to additional terms issued by the relevant Customer. Where Customer-specific terms conflict with these Terms regarding SKEP’s technology, intellectual property, platform restrictions or legal rights, these Terms will govern to the extent of the conflict unless SKEP expressly agrees otherwise in writing.

6. Relationship Between SKEP, Creators and End Users

SKEP primarily provides technology that enables Creators and Customers to offer their own programmes, content and services.

Unless SKEP expressly states otherwise:

  • the Creator is responsible for the Content and programme it provides
  • the Creator determines its own pricing, programme terms and delivery obligations
  • the Creator is responsible for claims it makes to End Users
  • contracts for a Creator’s coaching, course, membership or other service may be between the Creator and the End User
  • SKEP does not guarantee the quality, accuracy or effectiveness of a Creator’s services
  • SKEP is not responsible for professional, educational, business, financial, health or other outcomes promised by a Creator

SKEP may facilitate the transaction, access, hosting or delivery infrastructure without becoming the provider of the Creator’s underlying professional service.

7. Creator and Customer Responsibilities

A Creator or Customer must:

  • provide lawful and accurate Content
  • honour commitments made to End Users
  • comply with applicable consumer, advertising, education, privacy and other laws
  • ensure it has rights to upload and distribute its Content
  • provide required disclosures to End Users
  • obtain required consents
  • maintain accurate pricing and programme information
  • provide appropriate customer support
  • comply with refund and cancellation obligations applicable to its offering
  • protect End User information to which it has access
  • maintain appropriate access and permissions for team members
  • use SKEP only for legitimate purposes

Creators must not make false or misleading claims regarding:

  • guaranteed income
  • guaranteed employment
  • investment returns
  • health outcomes
  • certifications
  • regulatory recognition
  • examination results
  • other results that cannot reasonably be guaranteed

8. End User Responsibilities

End Users agree to:

  • use Content only for authorised purposes
  • respect the intellectual property of SKEP and Creators
  • not share paid access with unauthorised persons
  • not redistribute restricted Content
  • behave appropriately in communities and communications
  • provide accurate information where required
  • comply with applicable programme rules and these Terms

An End User’s dispute concerning the substance, quality or delivery of a Creator’s programme should ordinarily be raised with the relevant Creator first.

9. Acceptable Use

You must not use the Services to:

  • violate any applicable law
  • commit fraud
  • impersonate another person or entity

  • distribute malware or harmful code

  • facilitate prohibited transactions
  • circumvent usage limits, security mechanisms or payment controls

SKEP may remove or restrict access to Content where reasonably necessary to comply with law, platform rules, legal process or these Terms.

11. User-Generated Content

Users may be able to post Content within communities, feeds, chats, spaces or other interactive areas. You retain ownership of Content you create, subject to rights you grant to SKEP under these Terms.

By uploading Content, you grant SKEP a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display, transmit and technically modify such Content solely as reasonably necessary to:

  • operate the Services
  • deliver it to authorised users
  • create technical copies
  • optimise media
  • provide backups
  • secure the platform
  • comply with legal obligations

You represent that you have all rights and permissions necessary to upload the Content. This licence ends when the Content is deleted from active systems, subject to reasonable backup, archival and legal retention requirements.

12. SKEP Intellectual Property

SKEP and its licensors retain all rights in the SKEP platform, including:

  • software
  • source code
  • object code
  • APIs

  • logos
  • documentation
  • databases
  • workflows

Except for the limited right to use the Services under these Terms, no intellectual property rights are transferred to you. You may not use SKEP branding in a manner that suggests sponsorship, ownership or endorsement without prior written permission.

13. Customer Content and Branding

Customers retain rights in their own Content, trademarks and branding.

By providing such material to SKEP, the Customer grants SKEP the rights reasonably necessary to:

  • host and display the material
  • configure Customer Applications
  • operate websites and landing pages
  • provide the Services
  • distribute approved applications
  • perform related technical functions

The Customer represents that it has all rights necessary to grant these permissions.

14. Third-Party Intellectual Property Complaints

If you believe Content available through SKEP infringes your intellectual property rights, contact legal@skep.in.

Your notice should contain sufficient information to:

  • identify the protected work
  • identify the allegedly infringing material
  • identify its location
  • explain your rights
  • provide your contact information
  • enable SKEP to reasonably assess the complaint

SKEP may remove or restrict access to disputed Content where appropriate.

15. Subscription Plans

Certain SKEP features may require a paid subscription.

Subscription terms may include:

  • plan duration
  • fees
  • user limits
  • usage limits
  • feature availability
  • storage

The applicable commercial terms will be those displayed or agreed when the Customer subscribes, unless replaced by a separate written agreement.

SKEP may offer:

  • free plans
  • trials
  • monthly plans
  • annual plans
  • custom enterprise plans
  • other subscription arrangements

16. Changes to Plans and Features

We may:

  • add features
  • retire features
  • replace integrations
  • change limits
  • modify technical requirements
  • introduce new plans

Material commercial changes will generally apply prospectively unless required sooner for security, law, platform-policy compliance or technical reasons.

Unless otherwise stated:

  • prices may exclude applicable taxes

Customers are responsible for providing accurate billing information.

18. Razorpay and Payment Processing

SKEP may receive information such as:

  • transaction ID
  • payment status
  • amount
  • payment method category
  • refund status
  • settlement information

Use of Razorpay may also be subject to Razorpay’s own terms and policies. SKEP may add, replace or remove payment providers from time to time.

19. Apple App Store and Google Play Payments

Where SKEP or a Customer Application is distributed through an app store, purchases made inside the application may be subject to the payment rules of the relevant app store.

Accordingly:

  • available payment methods may differ by platform
  • app-store billing rules may affect how subscriptions are purchased or managed
  • the app store may process payments directly
  • app-store terms may apply in addition to these Terms
  • refunds for app-store purchases may, where applicable, be processed under the relevant app-store rules

20. Auto-Renewing Subscriptions

Where a subscription automatically renews, material information regarding the subscription should be presented at purchase, including where applicable:

  • price

  • how cancellation can be requested

Where a subscription is purchased through Apple or Google, cancellation may need to be managed through the user’s Apple ID or Google Play account.

21. Creator Sales and End-User Transactions

Where a Creator sells courses, memberships, events or other services using SKEP:

  • the Creator is responsible for the description and delivery of the offering
  • the Creator is responsible for lawful pricing and claims
  • applicable taxes may be the Creator’s responsibility
  • the Creator is responsible for its own refund obligations unless SKEP expressly handles them

Refund eligibility may depend on:

  • the SKEP subscription purchased
  • Creator-specific terms
  • the type of product
  • the payment method
  • applicable consumer law
  • app-store rules
  • any refund policy separately published by SKEP or the Creator

Where a separate Refund Policy applies, it is incorporated into these Terms by reference. Nothing in these Terms limits mandatory consumer rights that cannot lawfully be excluded.

23. Earnings and Payouts

Where SKEP supports Creator earnings or payouts:

  • payout amounts may reflect refunds, taxes, payment charges, platform fees, chargebacks and adjustments
  • identity, bank or tax verification may be required
  • payout schedules may vary
  • payouts may be delayed where required for compliance or fraud review
  • Customers are responsible for accurate payout information

SKEP is not responsible for delays caused solely by banks, payment processors or inaccurate information supplied by the Customer.

24. Chargebacks and Payment Disputes

If a transaction is disputed or charged back:

  • SKEP may provide transaction evidence to the payment provider
  • amounts may be deducted from Creator earnings or future settlements where contractually permitted
  • access to disputed products may be suspended
  • SKEP may request information from the relevant Customer or User
  • repeated or fraudulent chargebacks may result in account restriction

25. Taxes

Users and Customers are responsible for taxes applicable to their own business activities unless applicable law requires SKEP to collect, deduct or remit them.

SKEP may:

  • collect applicable GST or other taxes
  • issue invoices
  • request tax details
  • deduct or withhold amounts where legally required
  • maintain transaction records for legal and accounting purposes

26. Privacy and Data Protection

Where appropriate, separate data-processing terms or a Data Processing Addendum may apply.

27. Children’s Data

Where a Customer provides programmes or Services to children, the Customer must comply with applicable child privacy, safety, consent and consumer requirements. Where legally required, the Customer must obtain verifiable consent from a parent or lawful guardian.

  • courses
  • memberships

Certain legally required records may be retained as described in the Privacy Policy.

38. Disclaimer of Creator Results

39. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

SKEP does not warrant that:

  • the Services will always be uninterrupted
  • all errors will be corrected immediately
  • every integration will remain available
  • the Services will meet every individual business requirement
  • third-party Content or services will be accurate or reliable

Nothing in this clause excludes warranties or statutory protections that cannot lawfully be excluded.

40. Limitation of Liability

To the maximum extent permitted by applicable law, SKEP shall not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Services, including loss of profits, revenue, goodwill, business opportunity, data or anticipated savings, except where such exclusion is prohibited by law.

Where legally permitted, SKEP’s aggregate liability arising from the Services will not exceed the fees paid by the affected Customer to SKEP for the relevant Service during the six months immediately preceding the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited or excluded.

47. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

48. No Waiver

These Terms, together with applicable:

  • Privacy Policy
  • Refund Policy
  • subscription or order terms
  • Customer agreement
