1. Introduction and Agreement

Welcome to Skep ("we," "our," or "us"), a platform owned and operated by Rezolut Infotech Pvt. Ltd., a company incorporated under the laws of India, with its registered office in Mumbai, India. By accessing or using our website, mobile application, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

2. Services Provided

Skep provides a community management and learning management system (LMS) platform that allows trainers, educators, and organizations ("Creators") to build communities, host courses, and engage with their members ("Users"). We act as a technology facilitator and are not responsible for the content, advice, or instruction provided by Creators.

3. User Obligations and Prohibited Conduct

You agree to use the Services only for lawful purposes. You shall not:

  • Use the Services for any illegal or unauthorized purpose;
  • Upload or transmit viruses, malware, or any other malicious code;
  • Attempt to gain unauthorized access to our systems or user accounts;
  • Harass, abuse, or harm another person or group;
  • Infringe upon the intellectual property rights of others.

Violation of these rules may result in the immediate termination of your account and legal action.

4. Intellectual Property

Platform IP: All rights, title, and interest in and to the Skep platform, including software, designs, logos, and trademarks, are and will remain the exclusive property of Rezolut Infotech Pvt. Ltd.

User Content: You retain ownership of the content you upload to the platform. However, you grant us a limited, non-exclusive, worldwide license to host, display, and distribute your content solely for the purpose of providing the Services.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REZOLUT INFOTECH PVT. LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICES.

6. Indemnification

You agree to indemnify, defend, and hold harmless Rezolut Infotech Pvt. Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

7. Dispute Resolution and Arbitration

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by mandatory binding arbitration. The arbitration shall be conducted in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of the arbitration shall be English.

Jurisdiction: Subject to the arbitration clause above, the courts located in Mumbai, India shall have exclusive jurisdiction over any disputes arising under these Terms.

8. Modifications

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
